1. Acceptance of Terms
By accessing or using Idora ("the Service"), operated by Idora Technologies Ltd ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms apply to all users of the Service, including school administrators, teachers, accountants, parents, and any other individuals or entities accessing the platform.
2. About Our Service
Idora is a school management platform that provides tools for student information management, academic structure, results & assessment, financial management, attendance tracking, communication, and staff management.
The Service is provided as a multi-tenant platform hosted on cloud infrastructure, accessible via web browsers and mobile applications.
3. Account Registration
You are responsible for:
- Providing accurate and complete information during registration
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
4. The Idora Pricing Model
Unlike traditional SaaS subscriptions, Idora operates on a transactional model:
- The core platform is free forever. This includes unlimited students, staff, admissions, attendance, fee invoicing, result computation, parent broadcasts, and double-entry accounting.
- You only pay when you monetize your parents through result PINs (₦500 per PIN) or branded report card generation (₦500 per print).
- No monthly subscriptions. No setup fees. No hidden charges.

5. Payment & Wallet Operations
When purchasing PINs or report card prints:
- Payments are processed through your school's wallet balance or via Paystack (card, bank transfer, USSD, mobile money).
- All transactions are recorded in an immutable ledger with double-entry accounting.
- Wallet balances are held in Nigerian Naira (NGN) and are non-interest-bearing.
- Settlements to your bank account are processed within 1–3 business days, subject to applicable platform fees.
You are responsible for ensuring sufficient wallet balance before initiating PIN generation or report card printing. Failed transactions due to insufficient funds will not be processed.
6. Data Ownership & Your Rights
You own your data. Period.
All student records, financial data, academic results, attendance records, and other information you input into Idora remain the exclusive property of your school. We do not claim any ownership rights over your data.
- Export anytime: You can export all your data in standard formats (CSV, JSON, PDF) at any time.
- No vendor lock-in: If you decide to leave Idora, you take your data with you.
- Data isolation: Your school's data is cryptographically isolated from every other school via row-level security at the database level.

7. Data Retention Policy
Your school's history is preserved permanently.
Unlike many SaaS platforms that delete your data after cancellation, Idora retains your data indefinitely so you can always access historical records — even decades later. This includes:
- Student records and academic transcripts
- Financial records and payment history
- Audit logs for compliance and accountability
If you request account deletion, we will export your data and permanently delete it within 30 days, except where legal or tax obligations require longer retention (e.g., financial records retained for 7 years per Nigerian law).
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any laws
- Upload malicious code, viruses, or any harmful material
- Attempt to gain unauthorized access to other schools' data
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to send spam or unauthorized communications
- Interfere with or disrupt the Service or servers
- Share your account credentials with unauthorized individuals
Violation of these rules may result in immediate suspension or termination of your account without refund.
9. Intellectual Property
Idora and its original content, features, and functionality are owned by Idora Technologies Ltd and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.
You retain all rights to the data you input. We grant you a limited, non-exclusive, non-transferable license to use the Service for your school's internal operations during the term of your use.
10. Service Availability & SLA
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted, timely, secure, or error-free operation.
The Service may be unavailable due to:
- Scheduled maintenance (with 24 hours' notice where possible)
- Force majeure events (natural disasters, government actions, etc.)
- Third-party service provider outages (Supabase, Paystack, etc.)
We are not liable for any loss or damage resulting from Service unavailability.
11. Limitation of Liability
To the maximum extent permitted by Nigerian law, Idora Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.
12. Termination
You may terminate your use of Idora at any time, for any reason, without penalty. Simply stop using the Service.
We may terminate or suspend your access if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay outstanding amounts (if applicable)
- Remain inactive for an extended period (with 60 days' notice)
Upon termination, you may export your data within 30 days. After that, your data will be retained per our Data Retention Policy (Section 7) unless you explicitly request deletion.
13. Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any disputes arising from these Terms or your use of the Service shall be resolved through:
- Good-faith negotiation: We'll work with you to resolve issues directly.
- Mediation: If negotiation fails, we'll engage a neutral mediator in Kano State.
- Arbitration or litigation: As a last resort, disputes will be settled in the courts of competent jurisdiction in Kano State, Nigeria.
You agree to comply with the Nigeria Data Protection Act 2023 (NDPA) and all applicable data protection regulations when using the Service.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email to all school administrators at least 30 days before they take effect.
Minor changes (clarifications, typo fixes) will be posted on this page with an updated "Last updated" date.
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
